Job Description
- Handle a portfolio of corporate secretarial matters for both Indonesia and Overseas companies including preparation of Directors’ Resolutions, AGM & EGM documents and preparation of materials for meetings
- Handling a full spectrum of corporate secretarial duties
- Able to handle company incorporations, registration of foreign branches, striking off companies.
- Prepare and draft board resolution and minutes examples change of directors and/or secretary, the establishment of bank accounts and facilities, transfer of shares, increase of share capital, etc
- E-filing of various transactions with ACRA which includes Annual Return, Return of Allotment, Appointment of Officers, etc
- Ensure compliance with statutory and regulatory requirements including meeting deadlines
- Organize and coordinate board meetings and preparation of board papers
- Lead our firm’s corporate secretarial practice
- Update and maintain registers and corporate secretarial records
- Conduct Client due diligence (CDD) procedures and record documentation
- Perform e-filing and e-stamping transactions
- Monitor clients’ deadlines and compliance with the statutory requirements
- Other corporate or ad-hoc duties as required
- Liaise with external parties such as other corporate secretarial service providers, notary offices, etc
- Maximize revenue of the department through high-quality client relationship management
- Liaise with and advise clients on company formation, company statutory administration, work passes, business licenses, and related matters
- Liaise with statutory bodies, banks, and other third-party business partners, as required
- Streamline all workflow processes within your department to ensure prompt and professional service
Job Requirements

Degree holder preferably in Corporate Administration, Corporate Governance, Law, Accounting or Company Secretaries studies

Minimum 6 years of relevant working experience in the corporate secretarial field in Indonesia and or overseas

Possess/pursuing ICSA or relevant qualification is an advantage

Good interpersonal and communication skills

Able to work independently, multi-task and is meticulous

Good organization and administrative skills.

Excellent attention to detail.

Possess CS/LLB or ICSA qualification

Sound understanding of the Indonesian Companies Act, Immigration Act, Income Tax Act, and related regulatory policies

Strong customer service skills especially working with international clients

Strong team leader and team player that demonstrates maturity, perseverance and commercial sense

Strong interpersonal skills and excellent communication skills in English
